1. Agreement to Terms

1.1 These Terms & Conditions ("Terms") govern your access to and use of the A1 SolarStore website and related tools and services (collectively, the "A1 SolarStore Services").

1.2 By accessing or using any A1 SolarStore Services, you agree to be bound by these Terms, which form a binding agreement between you and A1 Solar S.à.r.l., a company registered in Luxembourg, registered with the Luxembourg Trade and Companies Register (RCS Luxembourg) under number B291818, VAT number LU35183114, with registered address at 45 Rue de Wormeldange, 6955 Rodenbourg, Luxembourg ("A1 SolarStore," "we," "us," or "our").

1.3 We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance by email or prominent notice on our website. Your continued use of the A1 SolarStore Services after the notice period constitutes acceptance of the revised Terms. If you do not accept the changes, you may terminate your account before they take effect.

1.4 Electronic Communications. You consent to receive contracts, disclosures, invoices, and notices electronically. Electronic acceptance carries the same legal force as a handwritten signature under Regulation (EU) No 910/2014 (eIDAS). You have the right to request a paper copy of any document.

1.5 Marketing Communications. We will only contact you for marketing purposes with your separate, freely given, specific, and informed consent as required under Regulation (EU) 2016/679 (GDPR) and Directive 2002/58/EC (ePrivacy). You may withdraw your marketing consent at any time by clicking "unsubscribe" in any marketing email or by contacting us at [email protected]. Withdrawal of consent does not affect the lawfulness of prior processing, nor does it prevent us from sending transactional or account-related communications required for the performance of your contract.

2. Description of Services

2.1 Store. An e-commerce platform where users ("Customers") purchase solar and home-energy equipment from A1 SolarStore or third-party sellers. A1 SolarStore facilitates the sale, processes payment, and coordinates fulfilment.

2.2 User Types. These Terms apply to all users, including visitors and Customers. Where these Terms distinguish between consumers and business users, EU mandatory consumer-protection laws prevail in the event of any conflict for users acting as consumers.

3. Account Registration & Eligibility

3.1 User Accounts. You may create an account to access features such as order tracking. If you do not create an account before checkout, one may be created automatically using your checkout information. We will notify you by email with instructions to set a password and manage preferences. You agree to provide accurate, current, and complete information and to safeguard your credentials. You are responsible for all activity under your account.

3.2 Eligibility. You must be at least eighteen (18) years old and have the legal capacity to enter a binding contract under the law of your country of residence. If you access on behalf of a business, you represent that you are authorised to bind that entity. The processing of personal data of users under 16 years of age requires parental or guardian consent under the GDPR (the applicable age may be lower in certain Member States — see our Privacy Policy for details).

4. Store Terms

4.1 Orders & Payments. Prices are listed in Euros (EUR) and exclude VAT. Applicable VAT is determined and agreed manually prior to invoicing. Where eligible, VAT reverse charge may apply — please indicate your VAT-registered status and provide your VAT number at the time of order. Accepted payment methods include credit/debit card, PayPal, and bank transfer (for large orders). We may cancel an order and refund payment if we suspect fraud, unauthorised activity, or pricing error.

4.2 Third-Party Payment Processors. We may use third-party processors. Your payment is subject to their terms. You authorise the processor to debit and, if necessary, credit your payment method for adjustments, chargebacks, and refunds. While we strive for secure processing, we are not responsible for processor errors, outages, or breaches.

4.3 Fulfilment, Shipping, Title & Risk. We arrange delivery through our fulfilment centres and freight carriers. Delivery timelines are indicated on the product page and at checkout. You must inspect deliveries upon receipt and note visible damage on the carrier's delivery record. Concealed damage must be reported to A1 SolarStore within five (5) calendar days of delivery with photographs of the packaging and product. Risk of loss passes to you upon physical delivery. Title passes to you upon receipt of full payment.

4.4 Right of Withdrawal (Consumers Only). If you are a consumer purchasing at a distance, you have the right to withdraw from the contract within 14 calendar days of taking physical possession of the goods, without giving any reason. Full details of your right of withdrawal, applicable exceptions, the return process, and the model withdrawal form are set out on our dedicated Right of Withdrawal page, which forms part of these Terms.

4.5 Statutory Warranty (Consumers Only). Under Directive (EU) 2019/771, A1 SolarStore — as the seller — is liable to you for the conformity of the goods regardless of whether those goods are manufactured by us or by a third-party brand. You are entitled to a minimum two (2) year statutory conformity guarantee from the date of delivery. If goods are not in conformity with the contract, you are entitled to repair or replacement free of charge, or — if repair or replacement is impossible or disproportionate — a price reduction or a full refund. Nothing in these Terms limits or excludes these statutory rights.

4.6 Commercial Guarantee. Products may also carry a commercial guarantee from the manufacturer as described on the relevant product page or in our Warranty Policy. Any commercial guarantee is in addition to, and does not affect, your statutory rights under Section 4.5.

4.7 VAT & Taxes. All prices are shown excluding VAT. Applicable VAT is determined and agreed manually prior to invoicing. If you are a VAT-registered business in another EU Member State, VAT reverse charge may apply — please provide your VAT number when placing your order. You are responsible for any taxes applicable in your jurisdiction that we are not legally required to collect.

4.8 Reporting Order Issues. Report missing, incorrect, or damaged items within 24 hours of delivery for visible damage and within five (5) calendar days for concealed damage. We will provide an appropriate remedy in accordance with applicable law.

4.9 Order Cancellation. You may cancel an order before it has been dispatched via the order details page or by contacting us. We will process a full refund promptly. If the order has already been dispatched, your right of withdrawal under Section 4.4 applies.

4.10 Returns & Authorisations. Returns outside the withdrawal period require prior written authorisation (RMA). Non-defective returns outside the statutory withdrawal period may be subject to a restocking fee and return freight costs. See our Return Policy, incorporated by reference. None of the above affects your statutory rights.

5. User Conduct & Acceptable Use

5.1 You agree to use the A1 SolarStore Services lawfully and respectfully. Prohibited conduct includes, without limitation: harassment; posting false, deceptive, obscene, or infringing content; scraping or attempting to interfere with the Services; uploading malware or harmful code; and violating any applicable law.

5.2 We may remove content or suspend accounts that violate these Terms, subject to any obligations under the EU Digital Services Act.

5.3 User Content Licence. You grant A1 SolarStore a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display, and distribute your reviews or submissions for the purposes of operating, improving, and promoting the Services. You may request removal of your content at any time, subject to our legal obligations to retain certain records.

5.4 Moderation. We may remove or decline to post User Content that is unlawful, deceptive, defamatory, obscene, harassing, infringing, or otherwise violates these Terms. We will provide a clear statement of reasons for any such decision in accordance with applicable law.

6. Privacy & Data Protection

6.1 Your privacy is important to us. The processing of your personal data is governed by our Privacy Policy, which complies with Regulation (EU) 2016/679 (GDPR) and applicable national data-protection laws.

6.2 Under the GDPR, you have the right to access, rectify, erase, restrict, and port your personal data, and to object to its processing. You also have the right to lodge a complaint with your national supervisory authority. Please see our Privacy Policy for details.

6.3 By using the A1 SolarStore Services, you acknowledge that you have read and understood the Privacy Policy. Accepting these Terms does not constitute consent to any processing for which the GDPR requires separate, explicit consent.

7. Intellectual Property

7.1 The A1 SolarStore website and its contents (including text, graphics, logos, images, and software) are owned by A1 SolarStore or its licensors and are protected by EU and international intellectual-property laws.

7.2 We grant you a limited, revocable, non-exclusive licence to access and use the website for its intended purposes (shopping for products) subject to these Terms.

7.3 Any unauthorised use — including reproduction, scraping, automated data extraction, or use of our trademarks or logos without permission — is prohibited.

7.4 Infringement Claims. If you believe material on our site infringes your rights, please send a detailed notice to [email protected]. We will investigate and, where appropriate, act in accordance with applicable EU law, including the EU Digital Services Act.

8. Disclaimers

8.1 The A1 SolarStore Services are provided on an "as is" and "as available" basis in respect of their digital and platform features. We do not warrant that the Services will be error-free, uninterrupted, or secure.

8.2 Nothing in these Terms excludes or limits any statutory rights you are entitled to under EU consumer law, including rights in relation to the conformity of goods (Section 4.5), or liability for death, personal injury, fraud, or fraudulent misrepresentation.

8.3 Third-Party Sites & Products. Links to third-party websites are provided for convenience. We are not responsible for third-party content, products, or practices; access is at your own risk.

8.4 No Endorsement. References to third-party products do not constitute endorsements by A1 SolarStore.

9. Limitation of Liability

9.1 Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of statutory implied terms as to conformity with description, satisfactory quality, or fitness for purpose; (d) any liability that cannot be excluded or limited under applicable EU or national law.

9.2 Subject to Section 9.1 and to the maximum extent permitted by applicable EU law, our total liability to you for claims arising out of or relating to the A1 SolarStore Services shall not exceed the amount you paid to A1 SolarStore in the six (6) months preceding the event giving rise to the claim.

9.3 We are not liable for indirect or consequential losses to the extent permitted under applicable law, including losses that were not foreseeable at the time the contract was formed.

10. Our Responsibility as a Store

10.1 Where A1 SolarStore acts as a platform facilitating transactions between Customers and third-party sellers, our liability is that of an intermediary. We are not the seller unless expressly stated.

10.2 In line with the EU Digital Services Act, we maintain a transparent complaints-handling process. If you have a complaint about third-party content or products on our platform, please contact us at [email protected].

11. Dispute Resolution

11.1 Good-Faith Negotiation. Before pursuing any formal remedy, please contact us at [email protected] describing your complaint. We will make reasonable efforts to resolve the matter within 30 calendar days.

11.2 Alternative Dispute Resolution (ADR). If we cannot resolve your complaint informally, you have the right to refer the dispute to an approved ADR entity in accordance with Directive 2013/11/EU. Details of our approved ADR provider are available on our website.

11.3 Online Dispute Resolution (ODR). In accordance with EU ODR Regulation No 524/2013, you may also submit your complaint through the European Commission's Online Dispute Resolution platform at: https://ec.europa.eu/consumers/odr. Our email address for ODR purposes is [email protected].

11.4 Court Proceedings. Nothing in these Terms prevents you from bringing proceedings before a competent court. If you are a consumer, you may bring proceedings in the courts of the EU Member State where you are domiciled.

11.5 No Mandatory Arbitration for Consumers. We do not require consumers to submit to binding arbitration as a condition of using our Services. Any ADR participation by consumers is voluntary.

11.6 Business-to-Business Disputes. For disputes between A1 SolarStore and business users, the parties agree to submit to the exclusive jurisdiction of the courts of Luxembourg.

12. Governing Law

12.1 These Terms are governed by the laws of Luxembourg, without prejudice to any mandatory consumer-protection provisions of the law of the EU Member State in which you are habitually resident. Where you are a consumer, you will in any event have the benefit of any mandatory provisions of the law of your country of residence that cannot be derogated from by agreement.

12.2 The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

13. Miscellaneous

13.1 Severability. If any provision is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if not possible, severed. The remaining provisions will remain in full force.

13.2 No Waiver. Our failure to enforce any provision is not a waiver of future enforcement.

13.3 Independent Contractors. You and A1 SolarStore are independent contractors. These Terms do not create an employment, agency, joint venture, or franchise relationship.

13.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. Any such assignment will not reduce any rights you have under these Terms.

13.5 Entire Agreement. These Terms, together with the Privacy Policy, Warranty Policy, Return Policy, and Right of Withdrawal, constitute the entire agreement between you and A1 SolarStore regarding the A1 SolarStore Services.

13.6 Notices. We may provide notices by posting to the site, emailing the address in your account, or via in-product messages. You may send legal notices to A1 Solar S.à.r.l. at our registered address or via [email protected].

13.7 Force Majeure. Neither party will be liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, labour disputes, supply-chain disruptions, carrier failures, war, terrorism, civil unrest, embargoes, government actions, or power or internet outages. The affected party will notify the other promptly and use commercially reasonable efforts to mitigate the impact and resume performance.

13.8 Language. These Terms are provided in English. Where we are required under applicable national law to provide Terms in the official language of a Member State, the translated version will prevail in the event of any conflict with this English version.

By using the A1 SolarStore Services, you acknowledge that you have read, understood, and agree to these Terms & Conditions. Your statutory rights as a consumer are not affected.
